General terms and conditions for resellers
General
ICONIC HOME is a trademark of Designscape Creative GmbH. Deliveries and services of Designscape Creative GmbH (hereinafter referred to as "ICONIC HOME", "we", "us") are provided exclusively on the basis of these terms and conditions. Counter-confirmations of the buyer with reference to his terms and conditions of business and purchase are hereby rejected. Deviations from these Terms and Conditions of Delivery and Payment shall only be effective if ICONIC HOME confirmed in writing.
ICONIC HOME reserves the right to revoke the contract with the Buyer within eight days of its signature without assuming any liability for damages. ICONIC HOME shall be entitled to terminate the contract if the Buyer fails to fulfill its obligations under this agreement or any other contract with the Seller or if there are reasonable doubts about the Buyer's future reliability, such as concerns about its creditworthiness.
Offer and conclusion of contract/withdrawal
Offers from ICONIC HOME are subject to change and non-binding, unless they are expressly designated as a binding offer. The contract is concluded when ICONIC HOME accepts the customer's order by means of an order confirmation and sends the order confirmation by email or fax.
If no email address or fax number is provided with the order, the contract is only concluded when the goods are sent. The written order confirmation from ICONIC HOME, which can also be made by sending an invoice with the goods, shall be decisive for the order.
If the customer has objections to the content of the order confirmation, it must object to the order confirmation without delay. Otherwise, the contract shall be concluded in accordance with the order confirmation. ICONIC HOME reserves the right to carry out a credit check even after conclusion of the contract and to withdraw from the contract if the result is negative. ICONIC HOME also reserves the right to withdraw from the contract in the event that the goods are not available for a period of at least four weeks or if there are data errors due to which ICONIC HOME cannot fulfill your order.
Preise
The prices quoted do not include VAT and are subject to change.
Lieferung
The minimum order value of ICONIC HOME for resellers is €150.
Within Germany, the flat-rate shipping fee is €8.90.
For orders over €500, the flat-rate shipping fee within Germany does not apply.
For orders within the EU and Switzerland, the flat-rate shipping fee is €14.90.
From an order value of €800, there is no flat-rate shipping fee within the EU and Switzerland.
Shipping is carried out by DHL Paket, GLS, DPD, a comparable provider or a forwarding agent. The choice of transport route is at our discretion. Deviating regulations require our consent.
Delivery shall be deemed completed as soon as the goods have been handed over by ICONIC HOME to the Buyer or on the Buyer's behalf. Partial deliveries may be made by ICONIC HOME . If the Buyer has not made any reservations in the transport document, the goods shall be deemed to have been received in perfect condition.
Delivery time/non-availability of products
The production of ICONIC HOME vases takes place in the company's own design manufactory in Germany. If in stock and available, delivery is always made as quickly as possible within 2-5 working days after ordering. Otherwise, longer delivery times of 2-8 weeks are to be expected.
The production of a single ICONIC HOME vase takes up to 15 hours. For this reason, longer delivery times may occur for larger orders. We are happy to provide information about the estimated delivery time in advance.
ICONIC HOME is entitled to make partial deliveries if part of the ordered goods are temporarily unavailable. All cases of force majeure shall release us from our obligation to fulfill the contract for the duration of their effects. Delivery dates stated by us are given to the best of our knowledge and without guarantee, in particular subject to timely delivery by our own suppliers. Claims for damages due to exceeding the delivery time are excluded in any case.
Zahlung
Initial deliveries are always made against advance payment. In the event of default of payment, all claims arising from the business relationship shall become due immediately.
Follow-up orders are possible after confirmation by ICONIC HOME on account.
We reserve the right to demand a down payment of 50% for order values greater than €3,000. Invoices must be paid within thirty days, unless otherwise agreed. We grant a 2% discount for payment within 10 days.
We are entitled to charge interest on arrears from the date of default in the amount of our financing costs and the dunning costs. If the agreed payment date is exceeded, we reserve the right to make future deliveries only against advance payment. Offsetting against disputed counterclaims of the buyer is not permitted. We expect payments from abroad free of charge using the IBAN bank details stated on the invoice.
Eigentumsvorbehalt
The delivered goods shall remain our property until all claims arising from the existing business relationship have been paid in full.
Gewährleistung
Complaints of any kind must be submitted in writing within eight days of receipt of the goods by the buyer or after discovery of hidden defects. Claims will be forfeited if this period is exceeded. The return of goods at the expense of ICONIC HOME requires express authorization. If claims are unfounded, the costs incurred shall be borne by the Buyer.
ICONIC HOME may refuse returns or return them at the Buyer's expense. Partial defects on an invoice shall not release the Buyer from paying the remaining amount. In the event of a timely, justified complaint, a replacement, repair or credit note for the reduced value shall be issued free of charge within the statutory warranty period.
Processing and quality
The designer vases from ICONIC HOME, which are made from PLA using 3D printing, are only suitable for indoor use and should not be exposed to temperatures above 40°C or direct sunlight in order to avoid deformation. The reseller must inform the end customer of this and hand over the enclosed instructions with the sale. Slight variations in appearance due to the 3D printing process are normal and do not constitute defects. Colors may vary slightly from the screen images. The designer vases printed from PLA are intended for use with dried flowers and are not waterproof. For use with fresh flowers, use the polypropylene (PP) insert supplied. The recyclable PP insert is also produced using the 3D printing process and must be tested for leaks with water before each use.
Haftung
The liability of ICONIC HOME is limited to the warranty obligations set out in these terms and conditions. Claims of the customer for damages, e.g. for non-performance, culpa in contrahendo, breach of ancillary contractual obligations, consequential damages, damages in tort and other legal grounds are excluded, unless ICONIC HOME is liable due to the absence of a warranted characteristic or due to intent or gross negligence. The buyer is obliged to protect ICONIC HOME from all claims by third parties for damages for which the liability of ICONIC HOME in relation to the buyer is excluded and to indemnify it. Claims for damages are excluded unless they result from intentional or grossly negligent behavior. Limitations of liability shall not apply to damages relating to injury or damage to health.
Änderungen

Online-Vertrieb
The ICONIC HOME design vases are intended exclusively for stationary specialist retailers. Sales via online channels are not permitted due to our brand strategy.
Confidentiality
The retailer price list is confidential. Publication or disclosure to third parties is not permitted. The Customer shall treat the content of the supply agreement with ICONIC HOME and in particular the conditions granted to it as strictly confidential vis-à-vis third parties. This shall also apply for a period of 2 years after termination of the cooperation between the parties.
Gerichtsstand
The contractual relationship shall be governed exclusively by the law of the Federal Republic of Germany. The place of jurisdiction for both parties is Saarbrücken.
